UltraRoute Ltd (“UltraRoute”, “we”, “us” or “our”) provides business-to-business transport and logistics services in the United Kingdom.
These Terms & Conditions govern transport enquiries, quotations, bookings and services supplied by UltraRoute.
Our services are intended primarily for business customers. By requesting or accepting a transport service on behalf of a business, you confirm that you are authorised to act on behalf of that business.
These Terms & Conditions apply to transport services supplied by UltraRoute unless different terms are expressly agreed by us in writing.
A quotation, booking confirmation or other written agreement may contain terms specific to an individual job. Where a job-specific term expressly conflicts with these Terms & Conditions, the expressly agreed job-specific term will take precedence for that booking.
Use of the UltraRoute website is also subject to our Privacy Policy.
Submitting an enquiry does not create a booking or require UltraRoute to provide transport.
Quotations are based on the information supplied to us at the time, including collection and delivery locations, dates and times, goods description, quantity, dimensions, weight, vehicle requirements, access requirements and any special handling requirements.
Unless otherwise stated, quotations are valid only for the period shown on the quotation.
We may revise or withdraw a quotation before acceptance where information supplied to us changes or proves to be incomplete or inaccurate.
A transport booking becomes binding when UltraRoute accepts the customer's booking following acceptance of our quotation or other agreed booking instruction.
Acceptance may be provided electronically, by email or through another method expressly accepted by UltraRoute.
The applicable quotation, these Terms & Conditions and any booking-specific terms confirmed by UltraRoute together form the agreement for the transport service.
UltraRoute will normally issue a booking confirmation containing the principal job information. Customers should check this information promptly and notify us immediately if anything is incorrect.
The customer is responsible for providing complete and accurate information reasonably required to quote, arrange and perform the transport service.
This includes, where relevant:
The customer must notify UltraRoute as soon as reasonably possible if any information changes.
Additional costs or delays arising from materially inaccurate, incomplete or changed information may be charged to the customer where reasonable.
Unless expressly agreed otherwise, the customer is responsible for ensuring that goods are appropriately packaged, labelled, secured and prepared for normal transport, taking account of their nature and the agreed method of carriage.
UltraRoute may decline to carry goods that appear unsafe, inadequately packaged, materially different from the booking information or unsuitable for the arranged vehicle or method of transport.
The customer must not tender dangerous, illegal, prohibited or specially regulated goods without informing UltraRoute in advance and obtaining our express agreement to carry or arrange carriage of those goods.
The customer must ensure that reasonable access is available at collection and delivery locations and that the goods are ready at the agreed collection time.
Collection and delivery times are based on the information available when the booking is made.
Unless expressly agreed otherwise in writing, estimated collection and delivery times are estimates rather than guarantees.
UltraRoute will take reasonable steps to communicate material delays or operational issues of which we become aware.
Responsibility for loading, unloading, securing or handling goods will depend on the service booked and the arrangements confirmed for the particular job.
The customer must disclose any requirement for specialist loading or unloading equipment, tail-lift facilities, forklifts, lifting equipment, additional personnel or other special handling before the booking is confirmed.
UltraRoute may charge reasonable additional costs where undisclosed requirements materially affect performance of the service.
UltraRoute may perform transport services itself or engage suitable third-party carriers, drivers, subcontractors or logistics providers to perform all or part of a transport service.
The use of a subcontractor does not, by itself, change the customer's contractual relationship with UltraRoute under the applicable booking.
UltraRoute will take reasonable steps appropriate to the service to select transport providers suitable for the relevant requirement.
Additional charges may apply where a driver or carrier is required to wait beyond a reasonable or agreed period because goods are not ready, access is unavailable, documentation is incomplete or another circumstance attributable to the customer, consignor or consignee prevents the job from proceeding as arranged.
Reasonable additional charges may also apply where a collection or delivery cannot be completed because of incorrect information, unavailable recipients, refused delivery, access restrictions or other circumstances outside UltraRoute's reasonable control.
Where practicable, UltraRoute will inform the customer before significant additional charges are incurred.
The customer should notify UltraRoute as soon as possible if a booking needs to be changed or cancelled.
Where a booking is cancelled or materially changed after transport capacity has been allocated, dispatched or otherwise committed, UltraRoute may charge reasonable costs already incurred and reasonable cancellation or additional transport charges attributable to the change.
Any applicable cancellation charge notified as part of a quotation or booking will form part of that booking.
The customer must pay the charges stated in the accepted quotation or otherwise agreed in writing, together with VAT where applicable.
Additional reasonable charges may arise where the customer changes the requirement or where circumstances attributable to the customer materially differ from those on which the quotation was based.
Invoices are payable within the payment period stated on the quotation, booking, account agreement or invoice.
For qualifying business-to-business debts, UltraRoute reserves the right to claim statutory interest, fixed recovery compensation and other recovery costs available under applicable late-payment legislation.
Current UK rules allow statutory interest on qualifying late commercial payments at 8% above the Bank of England base rate, plus statutory fixed recovery amounts, unless an applicable contractual arrangement provides otherwise.
Where applicable, UltraRoute will provide or make available proof of delivery following completion of the transport service.
Proof of delivery may include a recipient name, signature, delivery timestamp, photograph, electronic record or other appropriate evidence of delivery.
Any apparent shortage, damage or delivery exception should be recorded at delivery where reasonably possible and reported to UltraRoute promptly.
UltraRoute will take reasonable steps to perform services in accordance with the agreed booking.
However, transport operations may be affected by circumstances outside our reasonable control, including severe weather, road closures, traffic incidents, accidents, breakdowns, industrial action, public emergencies, government restrictions or other events that could not reasonably have been prevented.
Where such circumstances occur, UltraRoute will take reasonable steps to manage the disruption and keep the customer appropriately informed.
Certain goods may require prior approval, specialist transport, additional documentation or specific insurance arrangements.
The customer must inform UltraRoute before booking if goods are unusually valuable, dangerous, hazardous, fragile, temperature-sensitive, controlled, perishable or otherwise require specialist handling or regulatory compliance.
UltraRoute may refuse such goods or require additional information, conditions or charges before accepting the booking.
UltraRoute must not knowingly be asked to transport unlawful goods.
Customers should disclose the nature and value of goods when requested and whenever their value or characteristics could reasonably affect transport arrangements or insurance requirements.
The existence of Goods in Transit, carrier, freight liability or other insurance does not mean that every loss is insured for the full commercial value of the goods.
Customers requiring cover beyond the liability applicable to the transport service should discuss this with UltraRoute before the booking is accepted and, where appropriate, arrange suitable additional insurance.
UltraRoute will exercise reasonable care in arranging and performing transport services.
Our liability for loss of or damage to goods, delay or other loss will be determined by the applicable law, any mandatory carriage regime and the contractual terms applicable to the particular booking.
Nothing in these Terms & Conditions excludes or limits liability where it would be unlawful to do so, including liability that cannot lawfully be excluded or restricted.
Subject to applicable law, UltraRoute will not be responsible for losses arising from inaccurate or incomplete information supplied by the customer; inadequate packaging or preparation for which the customer is responsible; inherent characteristics or defects of the goods; or circumstances outside UltraRoute's reasonable control, except to the extent that UltraRoute is legally responsible for the loss.
UltraRoute will not accept liability beyond any applicable contractual or legal limitation merely because the customer has declared a higher commercial value for the goods.
Where a customer requires a higher or specifically agreed level of liability, this must be agreed with UltraRoute in writing before the booking is accepted and may require additional charges or insurance arrangements.
Subject to applicable law and unless expressly agreed otherwise in writing before the booking is accepted, UltraRoute will not be liable for indirect or consequential business losses arising from a transport service, including loss of profit, loss of production, loss of business, loss of contract or loss of anticipated savings, except where such liability cannot lawfully be excluded or restricted.
Customers should notify UltraRoute before booking where delay, loss or damage could expose them to unusually significant consequential losses so that appropriate arrangements can be considered.
Customers should inspect goods and delivery information as soon as reasonably practicable.
Any loss, damage, shortage, delay or other problem that may give rise to a claim should be reported to UltraRoute promptly with the relevant job number and available supporting evidence.
UltraRoute may reasonably request documents, photographs, invoices, proof of value, packaging evidence, delivery records or other information necessary to investigate a claim.
Nothing in this section overrides a mandatory statutory or convention-based time limit that applies to a particular transport service.
To the extent permitted by law, the customer will be responsible for reasonable losses, liabilities, costs or expenses incurred by UltraRoute as a direct result of the customer's material breach of these Terms & Conditions, unlawful instructions, or material failure to disclose dangerous or prohibited goods.
This provision does not require the customer to indemnify UltraRoute for losses caused by UltraRoute's own negligence or breach to the extent such responsibility cannot lawfully be transferred.
UltraRoute may refuse, suspend or terminate a booking where reasonably necessary because:
Where appropriate, the customer remains responsible for reasonable charges and costs incurred before suspension or termination.
UltraRoute processes personal information in accordance with applicable UK data protection law.
Information necessary to quote, arrange, manage and complete transport services may be shared with carriers, subcontractors, service providers and other parties where reasonably necessary for those purposes.
Further information is provided in the UltraRoute Privacy Policy.
We take reasonable care to keep information on our website accurate and current, but general website content is provided for information and does not itself constitute a transport quotation or guarantee that a particular service or vehicle will be available.
A transport service is subject to the quotation and booking process described in these Terms & Conditions.
Unless otherwise stated, content on the UltraRoute website and UltraRoute-branded documents is owned by or licensed to UltraRoute Ltd.
It may not be copied, reproduced or commercially exploited without permission except where permitted by law.
UltraRoute may update these Terms & Conditions from time to time.
The terms applicable to an accepted booking will normally be those incorporated into that booking at the time the contract is formed, unless a later variation is expressly agreed between the parties or required by law.
If any provision of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
If UltraRoute does not immediately enforce a right under these Terms & Conditions, that does not mean that the right has been waived.
These Terms & Conditions and any contractual or non-contractual dispute arising from them or an UltraRoute booking are governed by the laws of England and Wales.
Subject to any mandatory rule that applies, the courts of England and Wales will have jurisdiction over disputes arising from these Terms & Conditions or the services to which they apply.
